Terms of Service

These Terms of Service ("Terms") govern your access to and use of the AI browser, websites, applications, waitlist features, and related services provided by Aside Computer Inc. ("Aside," "we," "us," or "our") (collectively, the "Services"). By accessing or using the Services, you agree to these Terms.

If you use the Services on behalf of a company or other organization, you represent that you have authority to bind that organization to these Terms. If you do not agree to these Terms, do not use the Services.

1. Eligibility

You must be at least 13 years old to create an account or use the Services. If you are under the age of majority where you live, you may use the Services only with permission from a parent or legal guardian who agrees to these Terms.

You must also be legally able to enter into these Terms. You may not use the Services if applicable law, your employer's policies, school policies, contractual obligations, or other duties prohibit you from doing so.

2. Browser Software License

Subject to your compliance with these Terms, Aside grants you a limited, non-exclusive, non-transferable, non-sublicensable license to install and use the software we provide as part of the Services for your personal or internal business purposes.

You may not copy, modify, reverse engineer, decompile, attempt to extract source code from, rent, sell, distribute, or sublicense the software except to the extent applicable law expressly allows you to do so.

3. Updates

The Services may check for, download, and install updates automatically, including security patches, reliability improvements, and new or modified features. These Terms apply to updates unless we provide different terms.

4. AI Features, User Content, and Output

The Services can use prompts, browser tabs, webpage content, uploaded files, browser settings, instructions, feedback, workflows, and other materials you submit or make available through the Services ("User Content") to generate answers, summaries, recommendations, automated actions, or other output ("Output").

AI systems are probabilistic. Output may be inaccurate, incomplete, outdated, offensive, or unsuitable for your use. You are responsible for reviewing Output before relying on it or taking action based on it. Do not use Output as a substitute for professional legal, medical, financial, tax, security, or other expert advice.

As between you and Aside, you keep the rights you have in your User Content. As between you and Aside, you own Output generated for you by the Services, subject to applicable law, third-party rights, and these Terms. We do not represent that Output is unique to you. Similar or identical output may be generated for other users.

You grant Aside a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to host, store, reproduce, modify, create derivative works from, display, transmit, process, analyze, and otherwise use User Content and Output to provide, maintain, secure, develop, improve, market, and enforce the Services. This includes using User Content and Output to train, fine-tune, evaluate, and improve our models, systems, and safety tools. To the extent User Content or Output contains personal information, this license is subject to our Privacy Policy.

We do not authorize third-party AI model providers or service providers to use your personal information for their own unrelated purposes or to train their own models, except as disclosed to you or permitted by law. We may provide settings that let you opt out of certain uses of User Content or Output for model training or product research. Those settings may not apply to processing already completed, aggregated or de-identified data, security and abuse-prevention uses, legal compliance, or processing needed to provide the Services.

Webpages, documents, emails, and other third-party content may contain hidden or visible instructions designed to influence AI systems, sometimes called prompt injections. The Services may not detect every prompt injection, malicious instruction, or unsafe context. You are responsible for reviewing Output and approving actions before they are taken, especially actions involving messages, purchases, payments, bookings, account settings, deletion of data, publication of content, access to sensitive information, or other actions with legal, financial, reputational, or irreversible effects.

5. User Responsibilities

You are responsible for your account, devices, browser permissions, extensions, User Content, prompts, instructions, Output usage, and actions taken through the Services.

You agree not to:

  • use the Services for unlawful, harmful, abusive, deceptive, infringing, discriminatory, or fraudulent purposes;
  • access or interfere with another person's account, system, data, website, or service without authorization;
  • distribute spam, phishing, malware, or harmful code;
  • place unreasonable load on the Services or attempt to bypass rate limits, access controls, or security measures;
  • use the Services or Output to violate intellectual property, privacy, publicity, contract, employment, confidentiality, or other rights;
  • use the Services or Output for automated decision-making that has legal or similarly significant effects on a person without appropriate human review and legal authority;
  • use the Services to develop, benchmark, or improve a competing product, model, or service in a way that violates these Terms or applicable law;
  • misrepresent Output as human-generated where doing so would be deceptive or unlawful.

6. Third-Party Websites, Extensions, and Services

The Services may allow you to access, automate, or interact with third-party websites, platforms, extensions, models, payment processors, cloud services, or other external services. Third-party services are governed by their own terms and privacy policies.

Aside does not control or endorse third-party services and is not responsible for their content, availability, security, privacy practices, transactions, or actions. You are responsible for complying with third-party terms when you use the Services to interact with third-party services.

7. Plans, Subscriptions, and Billing

We offer Free, Pro, and Max plans. The Free plan may include core browser features and limited access to AI features. Pro and Max plans may include higher or different usage limits, priority access, advanced AI features, additional model access, workflow features, or other paid functionality described at the time of purchase.

Plan features, usage limits, model availability, rate limits, and performance may vary by plan and may change over time. References to "unlimited" or similar terms do not permit unreasonable, abusive, automated, resale, or non-human usage. We may apply fair-use limits, abuse-prevention controls, rate limits, or temporary restrictions where needed to protect the Services, comply with law, manage capacity, or maintain service quality.

Paid plans are billed in advance on a recurring basis unless stated otherwise at checkout. By purchasing a paid plan, you authorize us and our payment processor to charge your payment method for applicable fees, taxes, renewal charges, usage-based charges, upgrades, add-ons, and other amounts described at checkout or in the billing page.

Your subscription continues until canceled. Unless we state otherwise, cancellation takes effect at the end of the then-current billing period, and you will continue to have access to the paid plan until that period ends. You must cancel before the end of the current billing period to avoid renewal charges. We may provide cancellation through account settings, an in-product billing page, customer support, or another method described at the time of purchase.

You are responsible for keeping your billing account, payment method, and contact information accurate and up to date. If a payment fails, we may retry the charge, suspend or downgrade your plan, restrict paid features, or terminate access to the Services.

Prices, features, usage limits, model availability, and billing terms may change. If we make a material change to an active paid plan, we will provide notice as required by law. Your continued use of a paid plan after the effective date of a change means you accept the updated terms unless applicable law requires a different process.

Unless required by law or expressly stated in the purchase flow, in-product billing page, or written policy that applies to your purchase, payments are non-refundable. We do not provide credits, refunds, or prorated refunds for partial billing periods, unused usage, downgrades, canceled subscriptions, or account termination.

Free trials, promotional credits, discounts, beta access, or other offers may be subject to additional terms. If a free trial converts to a paid plan, you must cancel before the trial ends to avoid being charged unless we state otherwise.

Payments may be processed by a third-party payment processor. Your use of a payment method may also be subject to the payment processor's terms and privacy policy.

8. Intellectual Property

The Services, software, design, logos, trademarks, code, product features, and related materials are owned by Aside or our licensors. Except for the limited license in these Terms, we do not grant you any ownership rights in the Services.

You may not use Aside's name, trademarks, logos, or branding without our prior written permission.

9. Privacy

Our Privacy Policy explains how we collect, use, and share information. By using the Services, you acknowledge the Privacy Policy.

10. Service Changes

We may add, change, suspend, or discontinue features or Services from time to time. We will try to provide reasonable notice for material changes when practical, but we are not required to maintain any particular feature or functionality.

11. Suspension and Termination

We may suspend, restrict, or terminate your access to the Services if we reasonably believe that:

  • you violated these Terms or applicable law;
  • your account or use of the Services creates security, legal, operational, reputational, or safety risk;
  • your account is involved in fraud, abuse, unauthorized access, or harmful activity;
  • continuing to provide the Services would expose Aside, users, third parties, or the public to harm or liability;
  • we are required or permitted to do so by law, court order, regulator request, platform rule, or third-party service requirement.

We may act without prior notice where immediate action is reasonably necessary, including to prevent harm, preserve security, comply with law, protect evidence, or prevent further misuse. You may stop using the Services at any time.

Account termination, cancellation, deletion, or suspension may result in loss of access to your account, settings, sync data, User Content, Output, chats, files, usage history, and other data associated with the Services. We may not be able to recover deleted or terminated account data. We may retain certain information after termination where reasonably necessary for security, abuse prevention, legal compliance, dispute resolution, billing, enforcement, backup integrity, or as described in our Privacy Policy.

12. European Union Service Availability

The Services are generally not intended for users who reside in, or access the Services from, the European Union. EU users are restricted from using the Services because of compliance obligations under EU data protection laws, including the GDPR, and related technical, operational, and product limitations.

If we become aware that you are an EU user, we may restrict, suspend, terminate, geoblock, or decline to provide access to the Services, including by suspending or terminating your account, where we reasonably determine that doing so is necessary or appropriate for legal compliance, privacy protection, security, product readiness, or technical feasibility. We may also restrict EU access while we evaluate or implement additional compliance measures.

13. Disclaimers

The Services and Output are provided "as is" and "as available." To the maximum extent permitted by law, Aside disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, reliability, availability, security, and error-free operation.

We do not warrant that the Services or Output will meet your needs, be uninterrupted, be secure, be accurate, or be free from errors, harmful components, or data loss. We are not responsible for actions you take based on Output or for third-party content, websites, services, or materials accessed through the Services.

14. Limitation of Liability

To the fullest extent permitted by law, Aside and our officers, directors, employees, affiliates, suppliers, and partners will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages. This includes loss of profits, revenue, data, goodwill, business opportunities, service availability, or the cost of substitute services, even if we knew or should have known that such damages were possible.

To the fullest extent permitted by law, Aside's total liability for all claims relating to the Services or these Terms will not exceed the greater of (a) the amount you paid to Aside for the Services in the 12 months before the claim arose or (b) USD $100.

These limitations apply to any theory of liability, including contract, tort, negligence, strict liability, warranty, statute, or otherwise. They do not limit any liability that cannot be limited under applicable law, and they do not affect mandatory consumer rights that cannot be waived.

15. Indemnity

To the extent permitted by law, you agree to defend, indemnify, and hold harmless Aside and our officers, directors, employees, affiliates, suppliers, and partners from and against claims, damages, losses, liabilities, costs, and expenses, including reasonable attorneys' fees, arising from your use of the Services, User Content, Output usage, your violation of these Terms, your violation of law, or your violation of third-party rights.

16. Governing Law and Venue

These Terms are governed by the laws of the State of California and applicable U.S. federal law, without regard to conflict-of-law rules, except that mandatory consumer protection laws of your place of residence may also apply where required by law.

Before filing a claim, you agree to contact us at support@asidehq.com and try to resolve the dispute informally. If a dispute is not resolved informally, the state and federal courts located in San Francisco County, California will have exclusive jurisdiction, except where applicable law gives you the right to bring claims in another forum.

17. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will provide notice by posting the updated Terms, sending an email, providing an in-product notice, or using another reasonable method. Your continued use of the Services after the effective date of updated Terms means you accept the updated Terms.

18. Miscellaneous

These Terms are the entire agreement between you and Aside regarding the Services. If any provision is found unenforceable, the remaining provisions will remain in effect. You may not assign these Terms without our prior written consent. Aside may assign these Terms in connection with a merger, acquisition, financing, reorganization, or sale of assets.

Our failure to enforce a provision is not a waiver of our right to do so later. Sections that by their nature should survive termination will survive, including provisions on intellectual property, disclaimers, liability limits, indemnity, governing law, and dispute resolution.
